Affiliates Agreement

As a "NETWORK" Affiliate you agree to these NETWORK rules and guidelines:
These are the rules and conditions of doing business with the "NETWORK" affiliate program. 

These rules are in place to protect clients/advertisers within our NETWORK. Should there be any violation of these terms and conditions of business we reserve the right to suspend or cancel any account with no payment being made to such account. This is not negotiable. Should a payment be made and we find that this payment was made to a agent through an illegal or fraudulent action by the agent. We reserve the right to stop payment on the check and we may also take civil or criminal action against the company or individual. We are very keen in making sure that advertisers, agents, and ourselves are protected.

Participation in our program:

We DO NOT accept any sites that are of any Illegal nature or any Libelous or defamatory sites, hacking sites, software copying/piracy, hate, or racial hate sites.

Incentive and Adult Sites:
We do accept sites that have adult content into our NETWORK as well as incentive based sites you MUST select the check box that indicates adult content or incentive content during the Affiliate sign up process.

Fraud Control:

NETWORK reserves the right to withhold payment to any affiliates site that exhibits questionable affiliate activity. We have built into our software a fraud control system, which monitors all agents' sites constantly, including false registration. The "NETWORK" staff will verify all sites for legitimacy. Any company or Individual that tries to artificially inflate traffic counts, revenue, or use any devise, or robot/program to inflate sales will be reported to the appropriate authorities for fraud and all payments will be refunded by the affiliate.

Payments:
Payments are sent out on or before the 20th of each month. Your 1st payment will be made on the 20th of the proceeding month. For example all commissions due from the 1st to 31st of May will be paid out on the 20th July. Once you have received your 1st check, you will then receive further checks on or about the 20th of each month subject to our minimum requirements. The minimum check value in any month is $50.00. Commissions less than this amount will be rolled over to the following month's sales. "NETWORK" reserves the right to withhold commission payments from affiliates accounts if funds are not received from Merchant. All statistical data reported in real-time should be used as a guide that reflect potential end of month earnings.
If for some reason an advertiser does not pay NETWORK then we shall have the right to delay payments for the advertisers offers to affiliates until the advertiser pays.

Advertising:
"NETWORK" will provide all marketing material to you on behalf of the client. Under no circumstances should you modify the marketing material provided to you unless otherwise noted or permission given,

No Guarantees:
"NETWORK" makes no warranties, guarantees, or representations regards the revenue or profit a agent can make from the NETWORK program. The NETWORK program makes no guarantees or representations regarding any information contained in any promotional material or oral communications made by any NETWORK representative, its employees, or agents. The agents assure that it has not relied upon any oral or written information provide by the NETWORK. Like any business the success of the program is very much in the hands of the agent to promote and expose their website to generate sufficient traffic to their site or advertisements to generate sales, clicks and whatever id required to generate income for the agent.

Self Refer:
The affiliate cannot refer himself/herself as a merchant and receive commission for any NETWORK merchant referral program. 


SPAMMING
Affiliates will not use NETWORK for the soliciting of potential customers for their own business needs without the permission of NETWORK first.
Affiliates may not use unsolicited e-mail or inappropriate newsgroup postings to promote a website. 


RIGHT OF REFUSAL/TERMINATION
NETWORK reserves the right to deactivate an affiliates account at any time for activity or site content deemed inappropriate, based on the sole discretion by us. Any of the following conditions may result in deactivation of an affiliates account. Restrictions include, but are not limited to: racism or hate sites, profanity, warez, cracking, hacking, phreaking, non-English WebPages, free-hosted, websites (Xoom, Angelfire, etc)


Multiple accounts:
Each affiliate is only allowed to have one account. Anyone that is found to have multiple accounts will have both accounts terminated and loss of all pay. We have built a sub affiliate service to allow the tracking of your affiliates ( sub=subaffilaitename)


Independent Contractor:
The agent is an independent contractor. NETWORK owners shall not provide any legal, accounting, or professional advice. The agent is responsible for the agents (company or individual) tax obligations. The agent is not an employee, partner, shareholder, or director of the NETWORK program, and shall not enter into any agreement oh behalf of the NETWORK.

Applicable Law: Arbitration
The above terms and conditions of business constitutes the entire understanding of both parties hereto with respect to its subject matter and supersedes any and all previous contracts and covenants between both parties whether written or oral, with respect to such subject matter.
